Terms of Use and Terms of Sale

1. Purpose
These Terms of Use and Terms of Sale (ToU/ToS) define the rights and obligations of PAD Consulting SAS (hereinafter "the Publisher") and any natural or legal person (hereinafter "the Client") accessing the ChannelPerf SaaS platform.
2. Access to the service
Access to ChannelPerf is reserved for named users with an active account. The Client is responsible for the confidentiality of their credentials. Any unauthorised access must be reported immediately to the Publisher.
3. Pricing and billing
Applicable prices are those set out in the quotation or commercial proposal accepted by the client. Billing is per named user, monthly or annually depending on the committed term. Prices are quoted excluding taxes.
4. Term and termination
Subscriptions are taken out for a minimum period of 12 or 36 months. At the end of this period, the subscription is automatically renewed. Termination must be notified in writing at least 30 days before the renewal date.
5. Responsibilities
The Publisher undertakes to ensure service availability (99.5% excluding planned maintenance) and data security. The Client is responsible for the lawfulness of the data entered into the platform.
6. Intellectual property
The ChannelPerf platform and all its components (code, interfaces, brand, content) remain the exclusive property of PAD Consulting SAS. The subscription grants a non-exclusive, non-transferable licence of use.
7. Data protection
The Publisher acts as a data processor within the meaning of the GDPR for data entered by the Client. A Data Processing Agreement (DPA) is available upon request.
8. Governing law
These ToU/ToS are governed by French law. In the event of a dispute, and failing amicable resolution, the competent courts are those of the jurisdiction of the registered office of PAD Consulting SAS.
